Terms of Use

These Terms of Use ("Terms") govern your access to and use of the SageTalk.ai desktop application (the "Application") and all related services (collectively, the "Service") provided by SynapseCore OÜ ("SageTalk," "we," "us," or "our").

By creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms and all policies incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

Incorporated Policies

Your use of the Service is also governed by the following policies, which are incorporated into these Terms by this reference:

• Privacy Policy: Explains how we collect, use, and protect your personal data.
• Acceptable Use Policy (AUP): Details the rules and prohibited uses of our Service.
• Refund Policy: Outlines the terms for refunds.
• Cancellation Policy: Explains how to cancel your subscription.
• Cookie Policy: Describes our use of cookies.
• Marketing Disclosure & Disclaimers: Clarifies the nature and limitations of our marketing and promotional materials.

Please read these policies carefully. A violation of any incorporated policy constitutes a breach of these Terms.

Accounts and Subscriptions

Account Creation: You must create an account using Google Authentication to access the Service. You are responsible for safeguarding your account and for all activities that occur under it.

Subscriptions and Payment: Full access to the Service requires a paid subscription. All payments are processed by our third-party payment processor, Stripe, and are subject to their terms and conditions. Subscriptions will automatically renew at the end of each billing cycle unless canceled by you in accordance with our Cancellation Policy. We reserve the right to change our subscription fees upon reasonable notice.

User Responsibilities and Consent

Lawful Use: You agree to use the Service only for lawful purposes and in strict accordance with our Acceptable Use Policy (AUP).

Consent for Media Processing: The core functionality of the Service involves processing your screen, webcam, and/or audio data ("Media Data"). By enabling these features, you provide your explicit consent for the capture and transmission of this Media Data to our AI providers for the sole purpose of providing you with real-time assistance.

Responsibility for Third-Party Consent: As detailed in our AUP, you are solely and exclusively responsible for complying with all laws regarding the monitoring and recording of communications. This includes obtaining clear, affirmative, and documented consent from all participants in a conversation before using the Service to process their audio or visual data.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of SynapseCore OÜ and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

AI Disclaimers and Acknowledgment of Risk

No Warranty of Accuracy: The Service uses complex artificial intelligence and machine learning models to generate its output. You acknowledge and agree that this output, including any suggestions, transcriptions, summaries, or analysis, is provided on an "as-is" basis. We do not warrant that the AI-generated content will be accurate, complete, reliable, or error-free.

User Discretion is Required: AI systems may produce inaccurate, biased, or unintended output ("hallucinations"). You agree to use your own judgment and discretion to evaluate and use any AI-generated content. You are solely responsible for any actions you take, or refrain from taking, based on information provided by the Service.

No Professional Advice: The Service is not a substitute for professional advice. The content generated by the AI does not constitute legal, financial, medical, or any other form of professional advice.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or our Acceptable Use Policy.

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time from within the Application settings.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNAPSECORE OÜ, ITS DIRECTORS, EMPLOYEES, OR PARTNERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia, with the Harju County Court as the court of first instance.

For consumers residing in the EU, you may also be entitled to use the EU's Online Dispute Resolution (ODR) platform, which can be accessed at https://ec.europa.eu/consumers/odr/.

General Provisions

Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Entire Agreement: These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and SynapseCore OÜ regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
